CONTRACTS & BUSINESS DISPUTES
Matthew Sparks has provided representation in a broad range of contract and business disputes, including the following:
- Represented the sellers of a medical laboratory in breach of contract litigation seeking damages in excess of $1,000,000 against the purchasers of the lab.
- Represented a lender in breach of contract litigation against a borrower involving a loan agreement. Won summary judgment of approximately $500,000, plus attorneys’ fees.
- Represented limited liability company and certain of its members in lawsuit against one of the company’s members alleging breach of fiduciary duty (involving the usurpation of a corporate opportunity), statutory fraud, and breach of contract. Lawsuit sought damages of greater than $20,000,000.
- Represented hotel franchisee in breach of contract dispute concerning $6.6 million purchase of hotel.
- Represented commercial electrical services company and its owner in defense of breach of contract and quantum meruit claims filed against them by one of the nation’s largest electrical supply companies. Plaintiff sought damages in excess of $375,000.
- Represented several members of a limited liability company (which owned/operated a restaurant) in a lawsuit against the other members of the company alleging common law fraud, statutory fraud, and breach of contract. Clients pleaded damages between $100,000 and $200,000.
- Represented a California real estate broker in federal lawsuit against a Georgia company concerning non-payment of commissions earned in connection with the purchase and sale of a portfolio of apartment complexes in Austin, Houston, Dallas, and Fort Worth.
- Represented limited liability company, a designer and seller of nuclear and biological warfare shelters, in pre-litigation negotiations with the manufacturer of the shelters.
- Represented Georgia-based commercial flooring supplier in breach of contract and suit on sworn account lawsuit against a Dallas-based customer that failed to pay for purchased goods.
- Represented the seller of certain assets of a restaurant in lawsuit against the buyer, with the seller seeking both damages for breach of contract and injunctive relief to enjoin the buyer’s use of the seller’s trademarks.
- Represented a mobile application/software development company in breach of contract litigation against a software services company. Client pleaded damages between $100,000 and $200,000.
- Obtained default judgment in favor of client, a lender, against the borrower in connection with a promissory note.
- Represented one of the nation’s largest mortgage servicers, a publicly traded company, in multiple lawsuits (primarily in federal court in Texas) related to allegations of wrongful foreclosure, unlawful debt collection, and breach of contract.
- Represented the assignee of multiple judgments in collections efforts and post-judgment discovery against various Texas debtors.
- Represented Florida-based brokerage firm in interpleader action relating to funds held in escrow in connection with the sale of an accounting practice.
- Represented non-profit organization in defense of a breach of contract lawsuit filed by a private air carrier.
- Represented electronics distributor in multiple lawsuits involving allegations of breach of contract, fraud, breach of warranty, and violations of the Deceptive Trade Practices Act (DTPA). Several of the lawsuits involved six-figure transactions, including international transactions.
- Represented medical practice and physician in defense of post-judgment collections efforts involving $1.5 million judgment.
- Astonish Results and Zywave Lawsuits – Between 2010 and 2018, represented approximately 100 separate insurance agencies in breach of contract litigation against, and/or negotiations with, Astonish Results, LLC and Zywave, Inc.

Won dismissal of federal lawsuit filed against client, the owner of a business which designs, manufactures, distributes, and sells high-performance auto parts.
Katsande v. Ocwen Loan Servicing, LLC

Won dismissal of federal lawsuit filed against client, one of the nation’s largest home loan servicers.
Nash & Powers Ins. Servs., Inc. v. Astonish Results, LLC
2014 U.S. Dist. LEXIS 175060 (E.D. Tenn. May 16, 2014)
Represented a Tennessee insurance agency and successfully defeated defendants’ Motion to Dismiss pursuant to Federal Rule of Civil Procedure 12(b)(6). Case subsequently settled.
